By using the services provided by DarkNET Designs you are accepting the following terms.
Authorize
You as a "client" gives "DarkNET Designs" permission to access your website and hosting account. We keep recorders of every username and password provided to us for the clients convince of multiple projects.
Copyright
1.) DarkNET Designs owns the copyright right to any work done until the client has paid us in full payment.
2.)
You as the "client" guarantee that any element such text, graphics, photos, designs, trademarks, or other artwork provided to "DarkNET Designs" for use in the design are owned by you as the "client", or that you as the "client" has permission from the rightful owner to use each of these elements. You also agree to hold "DarkNET Designs harmless and to protect and defend "DarkNET Designs" from a law suit or claim of infringement arising from the use of these elements.
Communication
1.) You as the "client" agrees to give us 24 hours to respond to your email or phone call. We receive ton's of emails and phone calls every day. If you have sent a email and 24 hours have passed and you have not heard back form us then please call us at (877) 719-5711
2.) Every project is set up with an account with-in our project system at http://www.darknetdesigns.com/billing/ Please remember that we have issued you access to this site to ALWAYS use this site for communication. If you as the "client" randomly email us at our email about your project and not through the project system you may become overlooked and your email may get missed, the best way to reach us "DarkNET Designs" is to ALWAYS sign into the project system and communicate about your project there using the " Notes" located on your overview project page.
3.) You as the "client" understand that if we "DarkNET Designs" request a file or information from you that you have exactly 24-48 hours "unless noted on your project" to provide us "DarkNET Designs" with the requested information. If we "DarkNET Designs" do not hear back form you within in the time frame we "DarkNET Designs" give then we "DarkNET Designs" will have to place your project "On Hold" and you will have to reschedule with us "DarkNET Designs" to start again.
4.) Due to unforeseen circumstances like weather, cable outage or sickness we "DarkNET Designs" ask that you be patient as we fix these issues if they arise. If we "DarkNET Designs" have a outage due to connection or weather we will post a announcement using twitter, twitter.com/darknetdesigns via our PDA. Please refer to twitter.com for all updates concerning emergency outages, weather or unexpected sickness. This is of course a rare event, but in case of an emergency we would like to have the best way possible to inform our clients.
Revisions & Maintenance
1.) "DarkNET Designs" agrees to make minor changes to the "client's" project for up to 1 week after completion. Anything other than this will be subject to a fee or an hourly rate, "DarkNET Designs" will quote the "client" on how long changes will take and cost and guarantee not to go above the rate agreed upon by "DarkNET Designs and the "client". Maintenance payments are to be paid in full before work has began.
Note: "DarkNET Designs" considered's text, links, placement of special tags, small color adjustments and graphic text to be minor changes!
2.) "DarkNET Designs" does not have a set amount of changes you as the "client" are allowed to make for a project once commissioned. However anything requested outside the original quoted project will be an add on fee. Once the project is approved by you as the "client" any changes requested will be invoiced at our hourly rate or a set fee. We can not be responsible for spelling/graphical errors once design approval takes place, this is why we send a digital proof to you to look over and approve. If you miss something we can make changes at our current hourly rate or a set fee. It is VERY IMPORTANT you do not say you love it till you do. A change that may be simple and quick can actually take hours, so please look everything over carefully before you as the "client" approve the project.
Indemnification
You as the "client" agrees that you are solely responsible for complying with such laws, taxes and tariffs, and will hold harmless, protect, and defend "DarkNET Designs" from any claim, law suit, penalty, tax or tariff arising from the "client's" exercise of Internet electronic commerce.
Payments & Cancellations/Refunds
1.) You as the "client" agrees to make a deposit of 50% of the project total before work is started. The remaining 50% is due before files are released to you as the "client" and before we install and take your website live. If your invoice is under $100.00 payment is required to be paid in full before work can be started.
2.) We accept Visa, Mastercard using 2Checkout, GoogleCheckout, Paypal. We also accept Checks & Moneyorders for the convince of our clients. If payment is made with a check please note that work will not being till check has cleared our bank. Checks can take up to 5-6 days to clear our bank.
3.) Please note due to the nature of our work we do NOT issue refunds. The "client" and "DarkNET Designs" reserve the right to cancel a project at anytime, any deposits paid will not be refunded and if work hours exceed the initial deposit fee we will require payment for that time used and will bill you accordingly. "DarkNET Designs" will make every reasonable effort to satisfy our client, but work commissioned must be compensated for whether or not design is used. If you would like to request a refund though please contact us first! If you do a charge back or open a dispute then you void your refund 100%!
Note: If the service was not rendered "at all" then we may issue a "full refund". All refunds will be provide within 3-4 days upon approval of refund request.
Late Fee's
Clients will be required to pay a late fee of $50 if there project goes over the deadline for the following reasons
1. If we request and you do not provide us with your content, images, website information, etc..
2. If a client's project goes over the deadline due to reasons on the "client's" end.
Copyright
DarkNET Designs owns the copyright right to any work done until the client has paid us in full payment.
Agreement
This UA becomes effective when the "client" provides "DarkNET Designs" with the initial deposit fee or purchases anything from our website via the shopping cart, email.
We "DarkNET Designs" reserve the right to change this User Agreement at any time.
